Misses Rose with Pets GmbH

1. Scope
   These GTC apply exclusively to contracts between Misses Rose with Pets GmbH (hereinafter “provider” or “we”) and entrepreneurs as defined in § 1 UGB. Consumers as per the Consumer Protection Act (KSchG) are excluded.

3. Contract Conclusion
   The presentation of our products does not constitute a legally binding offer, but an invitation for the customer to make an offer.
   A contract is only concluded upon our explicit acceptance (e.g., order confirmation or dispatch).
   By placing an order, the customer agrees to these GTC.

4. Prices and Payment Terms
   All prices are net in euros, plus statutory VAT.
   Unless otherwise agreed, invoices are payable within 14 calendar days from the invoice date without deduction.
   In case of payment default, we are entitled to charge default interest in accordance with § 456 UGB and reminder fees. Further claims for damages remain reserved.

5. Delivery, Shipping Costs & Risk
   Delivery is made to the address provided by the customer.
   Unless otherwise agreed, delivery time is typically 3–5 business days.
   Shipping costs within Austria are borne by the provider, except for small orders under €100 net, which are paid by the customer.
   The risk passes to the customer upon handover to the shipping company.
   The customer’s payment obligation remains even in cases of force majeure (e.g., theft, fire, natural disasters).

6. Retention of Title
   Delivered goods remain our property until full payment of all claims.
   The customer may resell goods in the ordinary course of business. In such cases, all claims from resale up to the amount of the outstanding invoice are assigned to us. We hereby accept this assignment.
   If the goods are processed, combined, or mixed, we acquire co-ownership of the new item in proportion to the value of the original goods.

7. Warranty & Liability
   Statutory warranty rules under §§ 377 ff UGB apply.
   The customer must inspect the goods immediately upon receipt and report any defects in writing within 5 business days, otherwise the delivery is deemed accepted.
   The warranty period is six months from delivery.
   We are liable only for intent or gross negligence. Further liability, especially for lost profits or indirect damages, is excluded where legally permissible.

8. Data Protection
   Personal data is processed in accordance with the GDPR and Austrian Data Protection Act (DSG).

9. Electronic Communication
   The customer agrees to receive all contractual communication and invoices by e-mail.

10. Jurisdiction & Applicable Law
    Only Austrian law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
    The competent court is the District Court of Leibnitz.

11. Contract Changes
    Any changes or amendments to these GTC must be made in writing. This also applies to waiving the written form requirement.

12. Severability Clause
    If any provision is invalid, the rest remains effective. The invalid provision shall be replaced by one that comes closest to the intended economic purpose.
